PayoffAgent is a SaaS platform that automates loan payoff calculations for equipment finance companies. The Service includes:

  • AI-powered extraction of loan terms from PDF documents
  • Automated calculation of loan payoff amounts
  • Generation of professional payoff letters
  • Integration with document management systems
  • Audit history and reporting features

3. Account Registration

To use the Service, you must:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Be authorized to bind your organization to these Terms
  • Notify us immediately of any unauthorized access

You are responsible for all activities that occur under your account.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with these Terms. You will not:

  • Violate any applicable laws or regulations
  • Infringe upon the rights of others
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the Service

5. Data and Content

You retain all rights to the loan documents and data you upload to the Service ("Customer Data"). You grant us a limited license to process Customer Data solely to provide the Service.

5.2 Accuracy and Responsibility

While we strive for accuracy, you are responsible for reviewing all extracted terms and calculated amounts before using them. PayoffAgent provides tools and automation, but the final verification and approval of payoff calculations remain your responsibility.

5.3 Data Security

We implement reasonable security measures to protect Customer Data, but you acknowledge that no system is completely secure. You are responsible for maintaining appropriate security practices on your end.

6. Intellectual Property

The Service, including all software, algorithms, designs, and content (excluding Customer Data), is owned by PayoffAgent and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

7. Payment Terms

Pricing and payment terms are specified in your service agreement or subscription plan. You agree to:

  • Pay all fees according to the agreed schedule
  • Provide valid payment information
  • Pay any applicable taxes

We reserve the right to suspend or terminate access for non-payment.

8. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. We may perform maintenance, updates, or experience outages. We are not liable for any losses resulting from service interruptions.

9. Warranties and Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be error-free, that calculations will always be accurate, or that the Service will meet your specific requirements.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAYOFFAGENT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless PayoffAgent from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any rights of others.

12. Term and Termination

These Terms remain in effect until terminated. You may terminate by closing your account. We may terminate or suspend your access immediately if you violate these Terms.

Upon termination, your right to use the Service ceases, and we may delete your Customer Data after a reasonable period (typically 90 days).

13. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes via email or through the Service. Your continued use after changes become effective constitutes acceptance.

14. Governing Law
